PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING THIS SOFTWARE.

By downloading, installing, copying, or otherwise using the SPICE Audio FX Plugin (“Software”), you agree to be bound by the terms of this End User License Agreement (“Agreement”). If you do not agree to these terms, do not install or use the Software.

1. License Grant

DNA Audio (“Licensor”) grants you (“You” or “User”) a non-exclusive, non-transferable, revocable license to install and use one copy of the SPICE Audio FX Plugin solely for your personal or commercial audio production purposes on up to two devices owned or controlled by you.

2. Ownership & Intellectual Property

The Software is licensed, not sold. All rights, title, and interest in and to the Software, including but not limited to all copyrights, trademarks, trade secrets, and other intellectual property rights, remain the sole property of DNA Audio.

3. Restrictions

You may not:

  • Distribute, sublicense, sell, lease, rent, or otherwise make the Software available to any third party.

  • Modify, reverse engineer, decompile, disassemble, or attempt to derive source code from the Software.

  • Use the Software in any way that violates applicable local, state, federal, or international law.

  • Use more than two simultaneous installations per license, unless additional seats are purchased.

4. Installation & Activation

  • Activation may require an internet connection and a valid license key.

  • DNA Audio may implement copy protection and anti-piracy measures.

  • In cases of system upgrade, reinstallation, or hardware replacement, DNA Audio may allow reauthorization at its discretion.

5. Updates

DNA Audio may, from time to time, provide software updates or patches. These updates are subject to this EULA and may include feature enhancements, security patches, or bug fixes. DNA Audio is under no obligation to provide updates or support.

6. Termination

This license is effective until terminated. It will terminate automatically without notice if you fail to comply with any term of this Agreement. Upon termination, you must destroy all copies of the Software.

7. Disclaimer of Warranty

The Software is provided “as is”, without warranty of any kind, express or implied, including but not limited to the warranties of merchantability, fitness for a particular purpose, and non-infringement.

DNA Audio does not warrant that the Software will meet your requirements, operate without interruption, or be error-free.

8. Limitation of Liability

To the maximum extent permitted by law, in no event shall DNA Audio be liable for any indirect, incidental, consequential, special, or punitive damages, or for any loss of profits or revenue, arising out of or related to your use or inability to use the Software—even if advised of the possibility of such damages.

In any event, DNA Audio’s total liability shall not exceed the amount you paid for the Software.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Tennessee, United States of America, without regard to its conflict of laws provisions.

10. General Provisions

  • This Agreement constitutes the entire agreement between the parties with respect to the Software.

  • If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

  • Failure to enforce any provision shall not constitute a waiver.
